Terms of Use

Definitions:

  • “Submission” refers collectively to any and all photographs, images, writings, statements, audio or video content, and all other materials and media submitted as part of an entry.

  • “Entrant” refers to the individual, business, entity, or company on whose behalf the Submission is entered.

  • “Sponsor” refers collectively to Bedrock Special Projects LLC, its parents, subsidiaries, and affiliates.

When an Entrant submits a Submission to Detroit Design 139, the Entrant signifies their agreement with and acceptance of these Terms of Use. Once entered, the Submission may not be withdrawn nor may the rights granted in these Terms of Use be withdrawn.

By entering a Submission, the Entrant represents and warrants that:

  • no aspect or element of the Submission infringes on or misappropriates any copyright, trademark, design, trade secret, privacy, publicity, or any other property or personal right of any nature of any third party;

  • Entrant either (a) owns the rights to all aspects of the Submission, or (b) has all necessary authorizations, permissions, approvals, consents, rights and licenses from the owner(s) to enter the Submission;

  • Entrant has the legal right and capability to agree to these Terms of Use and comply with them;

  • Entrant is at least 18 years of age; and

  • all of the information provided with the Submission is correct, complete, and current.

License Grant:

By entering the Submission, Entrant grants to Sponsor the unrestricted, worldwide, irrevocable, perpetual and royalty-free right, license, authorization and permission, in any form or format, on or through any media or medium and with any technology or devices now known or hereafter developed, in whole or in part, for any purpose relating to Detroit Design 139 or commercial advertising or promotion for Detroit Design 139 and/or Sponsor and their licensees and sub-licensees:

  • to display, use, host, reproduce, distribute, perform, publish, broadcast, modify, prepare derivative works of, adapt, reformat, translate, and otherwise exploit, all or any portion of the Submission; and

  • to sub-license and authorize others to exercise any of the rights granted to Sponsor, in its sole discretion.

In addition, the same License Grant applies to the use of Entrant’s name, image, company/business and/or biographical characteristics and/or other distinctive identification, in connection with promoting the Submission, Detroit Design 139, and Sponsor.

Except for the License Grant and other consents and rights granted in these Terms of Use, Sponsor acquires no title or ownership rights in or to any Submission and nothing in this Agreement conveys to Sponsor any ownership rights in any Submission.

Entrant acknowledges and agrees that Sponsor has no obligation to display, accept, or use any Submission or part of any Submission, and Sponsor may, in its sole discretion, remove or refuse to display, accept, use or do anything at all with respect to any Submission.

Entrant acknowledges that Sponsor is relying on the accuracy, completeness and enforceability of the representations, warranties, licenses, waivers and other terms in these Terms of Use and but for such accuracy, completeness and enforceability, Sponsor would not accept the Submission.  Entrant acknowledges the sufficiency and receipt of good and valuable consideration relating to the opportunity to submit the Submission and agrees that Entrant is not entitled to and Entrant will not receive any compensation or other consideration for the Submission. Entrant also understands and agrees that no advertisement, commercial, or other material that may include the Submission needs to be submitted to Entrant for approval prior to use.

Entrant releases (a) Sponsor, (b) all independent contractors, co-sponsors, agencies, judges, and anyone involved with the production and development of Detroit Design 139, and (c) each of their respective affiliates, agents and employees (collectively, the “Released Parties”) from any and all claims and demands which Entrant may or can have in connection with the Submission including, without limitation, any and all liability for any use or nonuse, claims for defamation, libel, slander, infringement of intellectual property (and any similar or related right), invasion of privacy, right of publicity, emotional distress or economic loss.

Entrant forever waives and relinquishes all moral rights or droit moral now or hereafter recognized in connection with the Submission and the rights granted to Sponsor in these Terms of Use.

Upon Sponsor’s request, Entrant will furnish Sponsor with any documentation, substantiation, and releases necessary and reasonably required to verify and substantiate compliance with these Terms of Use.

Entrants shall indemnify the Released Parties from and against any and all claims, demands, losses, and causes of action related to or arising out of these representations and warranties or any of the other undertakings or obligations of Entrants stated in these Terms of Use.

IN NO EVENT WILL SPONSOR BE LIABLE TO ENTRANT FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES ASSOCIATED WITH LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL) EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY MATTER BEYOND ITS REASONABLE CONTROL, IN EACH CASE REGARDLESS OF THE FORM OF THE CLAIN OR THE THEORY OF RECOVERY.

ENTRANT HAS READ THE TERMS OF USE IN THEIR ENTIRETY, ACKNOWLEDGES THAT IT IS BOUND BY THE TERMS OF USE, AND FREELY COMPLETES THIS SUBMISSION.
